Distant Sales Agreement

1. Parties
This Distant Sales Agreement ("Agreement") is entered into between the following parties under the terms and conditions stated below:
SELLER: Globalmeta Dijital Pazarlama ve Yazılım Hiz. LTD. ŞTİ. (hereinafter "Seller")

BUYER: The legal entity or individual subscribing to helloHub (hereinafter "Buyer")
2. Subject of the Agreement
The subject of this Agreement is to determine the rights and obligations of the parties regarding the sales, delivery, and licensing of the cloud software service (helloHub SaaS Platform) ordered electronically by the Buyer, in accordance with the Turkish Commercial Code and relevant Consumer Protection legislation.
3. Service & Pricing
The service type, quantity, brand/model of access license, selling price, and payment terms of the helloHub subscription plan are as specified in the billing summary at the final check-out page of the platform. The pricing includes the access to dashboard metrics, API integrations, and chatbot workflows.
4. General Conditions & Delivery
- The Buyer acknowledges that they have read and understood all pre-information regarding the technical characteristics of the platform, the price, and payment methods.
- The SaaS service is delivered electronically instantly to the Buyer upon verification of payment. No physical delivery is performed.
- The Seller is responsible for providing the platform in working order, except for outages caused by Meta Platforms (WhatsApp Business API endpoints) or server infrastructure defaults.
5. Right of Withdrawal
Since the subject of this Agreement is an instantly performed digital service delivered electronically to the Buyer, the right of withdrawal cannot be exercised in accordance with Article 15 of distant contract regulations in Turkey. B2B transactions are governed by the Turkish Commercial Code, which excludes standard consumer cooling-off periods.
6. Dispute Resolution
In case of any dispute arising from this Agreement, Istanbul Central (Çağlayan) Courts and Enforcement Offices shall have exclusive jurisdiction.
